Management Board's Notification of the Meeting of the Management Board and the 33rd Meeting of the Supervisory Board of Dalekovod d.d., Marijana Čavića 4, Zagreb, OIB 47911242222 (hereinafter referred to as: “Company”) Held Jointly with the Members of the Management Board

This is to notify you that the Supervisory Board of Dalekovod d.d., Marijana Čavića 4, Zagreb, PIN 47911242222 (hereinafter referred to as the Company) held its 32nd meeting today, 27 May 2013, where the debate was resumed regarding the binding offer to recapitalize Dalekovod d.d. made on behalf of Konsolidator d.o.o., a company controlled by Nexus Private Equity Partner d.o.o. za upravljanje otvorenim investicijskim fondovima rizičnog kapitala s privatnom ponudom.

Dalekovod d.d., a company based at Marijana Čavića 4, Zagreb, OIB: 47911242222 (hereinafter referred to as: Company), hereby notifies you that the 31st meeting of the Company's Supervisory Board was held on May 21, 2013 at 1 p.m. At the meeting, the Company's Management Board presented the Notification of a Binding Bid to Recapitalize Dalekovod d.d. made by Konsolidator d.o.o., a company in which Nexus Private Equity Partner d.o.o., a company engaged in the management of open investment venture capital funds through private equity offerings, has a controlling interest.

In Q1 2013, Dalekovod Group obtained revenue of HRK 256 million and net income of HRK 10.2 million. During the same period, Dalekovod d.d. obtained revenue of HRK 172 million and net income of HRK 0.4 million.

At today’s hearing a majority decision has been made by Dalekovod d.d. creditors to accept the Financial Restructuring Plan.
